These Terms of Service govern your use of services provided by Modifi Innovations LLC, a California limited liability company ("Modifi," "we," "us," or "our"), operating under the trade names Modifi Facility Services, Modifi OS, and Modifi Connect. 2. Services Offered

Modifi Innovations LLC provides the following services:

• Modifi Facility Services: Commercial property vendor coordination, governance, documentation, compliance tracking, dispatch, and operational management services.
• Modifi OS: Business intelligence assessments, scoring, SOP generation, software integrations, CRM implementation, automation workflows, and business expansion consulting.
• Modifi Connect: Text-to-dispatch vendor coordination and routing for residential and commercial properties.

3. Service Agreements

All services require a separate written Service Agreement or Statement of Work ("SOW") between you and Modifi Innovations LLC. These Terms of Service apply in addition to any such agreements. In the event of a conflict, the specific Service Agreement controls.

Services are provided on a month-to-month basis unless otherwise specified in your Service Agreement. Either party may terminate with 30 days written notice unless otherwise agreed.

4. Pricing and Payment

All pricing listed on our website is an estimate only. Final pricing is determined after a free property or business assessment and is documented in your Service Agreement.

Variable Scope Services

The following services are priced individually based on company size, industry complexity, number of locations, and scope of work:

• SOP development and operations manuals
• Website design and development
• Software integrations and CRM implementation
• Automation workflow builds
• Custom reporting and dashboard builds
• Ongoing optimization engagements

Contact us for a custom quote on any of these services. No work begins until pricing is agreed upon in writing.

Rate Changes

Rates for ongoing services are subject to change with 30 days written notice to active clients. Rate changes do not apply retroactively. Digital product pricing for Modifi OS may be updated at any time for new subscribers; existing subscribers receive 30 days notice of any price increases.

Payment is due on the first of each month for monthly services. Late payments may incur a 1.5% monthly finance charge. Modifi Innovations LLC reserves the right to suspend services for accounts more than 15 days past due.

For Modifi OS digital products, payment is processed via Stripe. All transactions are subject to Stripe's Terms of Service. Refunds for digital products are handled on a case-by-case basis at Modifi's discretion.

5. Disclaimers and Limitations

Business Assessments and Scoring

Modifi OS business scores and assessments are informational tools only. They do not constitute financial, legal, investment, or professional advice. Scores are based on information provided by the user and should not be relied upon as the sole basis for any business decision.

Facility Services

Modifi Facility Services acts as a coordination and management service. We are not a licensed contractor and do not perform physical work on properties. All vendor work is performed by independent third-party vendors. Modifi does not warrant the quality of work performed by third-party vendors.

Vendor Coordination

While Modifi verifies Certificates of Insurance (COI) for vendors in our network, we do not guarantee vendor performance, workmanship, or availability. Modifi is not liable for damages caused by third-party vendors.

6. Insurance

Modifi Innovations LLC maintains the following insurance coverage:

Insurance certificates are available upon request for clients requiring proof of coverage.

7. Intellectual Property

All content, scoring methodologies, SOP frameworks, branding, and materials produced by Modifi Innovations LLC are proprietary. SOPs and documents generated for clients through Modifi OS are licensed to the client for their own business use and may not be resold or sublicensed without written permission.

8. Confidentiality

Modifi treats all client business information, financial data, and operational details as confidential. We do not sell, share, or disclose client information to third parties except as required to perform the services (e.g., sharing work order details with a dispatched vendor) or as required by law.

9. Limitation of Liability

To the maximum extent permitted by California law, Modifi Innovations LLC's total liability to you for any claims arising from our services shall not exceed the total fees paid by you in the three months preceding the claim. We are not liable for indirect, incidental, special, or consequential damages.

10. Governing Law

These Terms are governed by the laws of the State of California. Any disputes shall be resolved in Ventura County, California. Both parties agree to attempt mediation before pursuing litigation.

11. Changes to Terms

We may update these Terms at any time. Continued use of our services after changes constitutes acceptance. We will notify active clients of material changes via email.

SMS and Communication Data

When you use Modifi Connect by texting (805) 702-7135, your phone number and message content are collected to process your service request. This data is stored in our Airtable database and used solely to coordinate your dispatch request.

2. How We Use Your Information

• To provide and deliver the services you requested
• To follow up on inquiries and schedule consultations
• To generate business assessments and SOPs through Modifi OS
• To coordinate vendor dispatch through Modifi Connect
• To send service updates, invoices, and reports relevant to your engagement

We do not use your information for advertising, sell it to third parties, or share it for marketing purposes.

We share your information only in these limited circumstances:

• Service delivery: Sharing work order details with dispatched vendors to complete your service request
• Technology providers: Airtable (database), Make.com (automation), Stripe (payments), Netlify (website hosting), Quo/OpenPhone (SMS). Each has their own privacy policy.
• Legal requirements: If required by law, court order, or to protect our legal rights

As a California business serving California residents, we comply with the CCPA. You have the right to:

We retain client information for the duration of the service relationship and for seven years afterward for legal and accounting purposes. Inquiry data from non-clients is retained for two years. You may request deletion at any time.

7. SMS Communication

By texting Modifi Connect at (805) 702-7135, you consent to receive SMS messages related to your service request. Message and data rates may apply. Reply STOP at any time to opt out. We do not use your phone number for marketing without explicit consent.

8. Cookies

Our website uses minimal cookies for basic functionality. We do not use tracking cookies or advertising cookies. We do not use Google Analytics or similar tracking services.

9. Children's Privacy

Our services are intended for business owners and commercial property operators. We do not knowingly collect information from individuals under 18 years of age.

Walkthrough reports document observable conditions and do not constitute professional property inspections. Always engage licensed inspectors for formal property assessments.

5. Vendor Performance

Modifi verifies vendor Certificates of Insurance and maintains vendor performance records. We do not guarantee the quality, timeliness, or outcome of work performed by third-party vendors. All vendor work is subject to the vendor's own terms and warranty policies.

7. SOP, Manual, and Custom Deliverable Disclaimer

SOPs, operations manuals, and automated workflows generated by Modifi OS or developed as custom deliverables are starting frameworks based on industry best practices, user-provided information, and Modifi's operational experience. They are not legal documents and do not constitute legal, HR, or compliance advice.

All SOPs and manuals should be:

• Reviewed and approved by qualified internal personnel before implementation
• Adapted to your specific operational environment and jurisdiction
• Reviewed by appropriate licensed professionals (attorney, HR specialist) where legal or employment compliance is involved

Modifi is not liable for outcomes resulting from SOP implementation, including but not limited to employee actions, operational errors, or regulatory findings.

Pricing of Custom Work

All estimates for custom SOP development, website builds, integrations, and manual creation are based on initial scope assessment only. Final pricing may vary based on actual complexity, company size, industry requirements, and scope changes during the engagement. All pricing is confirmed in writing before work begins.

1. Modifi OS Digital Products

Free Assessment

The free business score and assessment is provided at no cost and is non-refundable (there is nothing to refund).

Individual Document Purchases (Pay-Per-Document)

Modifi OS documents are sold individually, no subscriptions, no bundles. Each purchase is an instant-access digital download. Because delivery is immediate, purchases are final and non-refundable once the document has been delivered. If a document was not delivered due to a processing or technical error on our end, contact us for a full refund or re-delivery.

2. SOP Development, Websites, and Custom Deliverables

Pricing for SOP development, operations manuals, website design, and custom builds varies based on company size, industry complexity, and scope of work. All custom projects are quoted individually before work begins.

Custom project refund policy:

• Deposits are non-refundable once work has commenced
• If a project is cancelled before work begins, a full refund of any deposit is issued
• Upon delivery, you have 5 business days to request revisions or flag concerns
• Completed and approved deliverables are non-refundable
• Scope changes requested after project start may result in additional charges

3. Modifi Facility Services

Monthly facility services fees cover work performed in the prior month. As services are rendered on an ongoing basis, completed monthly fees are non-refundable.

If we fail to deliver services as specified in your Service Agreement, you may request a pro-rated credit for undelivered services. Credits are applied to future invoices.

If you cancel within the first 30 days of a new engagement before any walkthroughs or vendor coordination has been performed, a full refund of your first month fee will be issued upon request.

3. Modifi Connect

Dispatch fees for completed jobs are non-refundable. If a vendor fails to show up for a confirmed appointment, we will re-dispatch at no additional charge or issue a credit.

4. Rate Changes

All pricing and rates are subject to change. Active clients will receive 30 days written notice via email before any rate changes take effect. Rate changes do not apply retroactively to work already performed or invoiced.

Pricing shown on our website is an estimate and varies by property size, company size, industry, and scope of work. Final pricing is always confirmed in a written Service Agreement before work begins.

5. How to Request a Refund

Contact us at operations@modififacilityservices.com or (805) 702-7135 with your name, the service in question, and the reason for your request. We respond to all refund requests within 3 business days.

Approved refunds are processed within 5-10 business days to the original payment method via Stripe.

6. Chargebacks

We ask that you contact us directly before initiating a chargeback with your bank or credit card company. We take every complaint seriously and will work to resolve issues promptly. Unresolved chargebacks may result in suspension of services.
